
Cortaxiom Browser Extension End User License Agreement

This End User License Agreement (this “EULA”) is a legal agreement between you (“you”) and Cortaxiom LLC (“Cortaxiom,” “we,” “our,” or “us”) governing your installation and use of the Cortaxiom browser extension (the “Extension”). By installing, accessing, or using the Extension, you agree to be bound by this EULA, the Cortaxiom Terms of Service, and the Cortaxiom Privacy Policy (collectively, the “Agreement”). If you do not agree, do not install or use the Extension.
1. Definitions
Capitalized terms not defined in this EULA have the meanings given in the Terms of Service. For clarity: “Extension” means the Cortaxiom browser extension; “Services” means the Cortaxiom services the Extension may provide access to; “Page Content” means content you choose to submit or expose through the Extension interface (for example, selected text or visible page text); and “Third-Party Services” includes third-party websites, integrations, and third-party AI providers used to help deliver the Services.
2. Eligibility and Account Responsibilities
You must be at least 18 years old and able to form a binding contract to use the Extension. If the Extension requires a Cortaxiom account or is used with Cortaxiom Services, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
3. License Grant
Subject to your ongoing compliance with this Agreement, Cortaxiom grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use one copy of the Extension on compatible devices/browsers you control, solely for its intended purpose and only as permitted by this Agreement.
4. Restrictions
You may not, and may not permit others to: (a) copy, modify, translate, adapt, or create derivative works of the Extension; (b) distribute, sell, rent, lease, lend, sublicense, or otherwise make the Extension available to any third party; (c) reverse engineer, decompile, or disassemble the Extension, except to the extent such restriction is prohibited by applicable law; (d) bypass or attempt to bypass usage limits, access controls, or security features; or (e) use the Extension in violation of applicable law or the Terms of Service.
5. Action Intent and Clarification
The Extension is designed to operate under your direction, not autonomously. To enforce this principle, the Extension applies a clarification process when your intent is unclear, incomplete, or could be interpreted in multiple ways. Mandatory Clarification: The Extension will ask clarifying questions (and may choose not to proceed to action staging or execution) when: - An action request lacks an explicit recipient, target, scope, or essential detail (e.g., "send an email" without specifying recipient). - A request could apply to multiple entities, records, or contexts (e.g., "update the ticket" when multiple tickets are in context). - You use conditional or tentative language (e.g., "maybe," "probably," "might," "could," "if"). - A request could be seeking information OR requesting action execution (e.g., "show me an email" could mean 'show example' or 'draft email to send'). - A request involves customer communication, data modification, external notification, or regulated domain, and any key detail is missing or unclear. When any of these conditions exist, the Extension may respond conversationally with a targeted clarifying question rather than staging an action for confirmation. This clarification behavior is view as mandatory by Cortaxiom and in our view it should not be bypassed by the user instruction or configuration. It is a safety feature designed to keep the user in control and prevent unintended actions.
6. Subscription-Dependent Features
Certain features of the Extension or Services may require an active paid subscription or a specific service tier. If your subscription ends, is canceled, is suspended, or payment fails, Cortaxiom may disable or restrict subscription-dependent functionality, in whole or in part, without liability.
7. Privacy and Data Processing
Your use of the Extension is subject to the Privacy Policy, which describes how we collect, use, and protect information, including information related to Extension interactions and operational metadata. Web pages may contain sensitive, confidential, or personal information. You are responsible for reviewing and redacting Page Content before submitting it or exposing it through the Extension interface.
8. Extension Consent Model and User Controls
Within the limits of not being able to guarantee outputs and performance of third-party Artificial Intelligence Large Language Models (AI) (LLM), the Extension operates only with your explicit consent and provides comprehensive controls to ensure transparency and privacy. First-Run Consent: When you first install the Extension, you will be presented with a consent (e.g., "Accept") prompt that accompanies links to Cortaxiom's Privacy Policy, Terms of Service, and this EULA which explains: - What data the Extension will access (current page URL, visible content when you invoke it) - What the Extension will do (provide contextual assistance, suggest actions) - What data will be sent to Cortaxiom Services (page context you explicitly submit, your queries) - How to pause, disable, or uninstall the Extension. You must provide affirmative consent (click "Accept" or equivalent) before the Extension activates. The Extension does not operate until you consent. Per-Site Authorization: You control which websites and domains the Extension is active on: - Depending on your browser and the Cortaxiom Browser Extension version, you may be presented with the option to explicitly authorize the Extension for third-party sites (e.g., vendor portals, partner platforms). - Depending on your browser and the Cortaxiom Browser Extension version, the Extension may display a visible indicator (e.g., icon badge, page corner indicator) when active on a page. - Depending on your browser and the Cortaxiom Browser Extension version, you may be able to view and modify authorized sites at any time through Extension settings. Pause and Disable Controls: Depending on your browser and the Cortaxiom Browser Extension version, you may be able to pause or disable the Extension at any time: - **Pause:** Temporarily disable the Extension without uninstalling via browser toolbar icon click, keyboard shortcut (if configured), or Extension settings panel. Paused state persists across browser sessions until you re-enable. - **Disable for Specific Sites:** Configure the Extension to never activate on certain sites or site patterns (e.g., "never activate on *.bank.com"). - **Uninstall:** Completely remove the Extension through your browser's extension management interface. Sensitive Site Auto-Pause: Depending on your browser and the Cortaxiom Browser Extension version, the Extension may respect a blocklist of sensitive site categories (financial institutions, healthcare providers, legal services, etc.) and may automatically pause when you navigate to these sites. Depending on your browser and the Cortaxiom Browser Extension version, if the Extension auto-pauses, it may display: "Extension is paused on this page for your privacy. Click to activate if needed." Depending on your browser and the Cortaxiom Browser Extension version, you may override the auto-pause for specific sites if you choose, but Cortaxiom recommends maintaining the default protection for sensitive environments. Cross-Site Context Isolation: Depending on your browser and the Cortaxiom Browser Extension version, the Extension may not blend context from multiple sites without your explicit request. Depending on your browser and the Cortaxiom Browser Extension version, when you invoke the Extension on a new page, it may focus on that page's content unless you explicitly reference prior context. Depending on your browser and the Cortaxiom Browser Extension version, the Extension may not build or store a persistent log of sites you visit. Session context (e.g., "You were just on Page X, now on Page Y") may be used to maintain conversation continuity within a session. Session context is cleared when your browser closes or when you click "Clear Session" in Extension settings.
9. Third-Party Services; AI Processing; Web Content
The Extension may enable you to submit Page Content to Cortaxiom Services that incorporate artificial intelligence and may rely on third-party service providers (including third-party AI providers) to process inputs and generate outputs. Outputs may be inaccurate, incomplete, or misleading, and you are solely responsible for reviewing and verifying outputs before relying on them. You acknowledge that third-party services are not controlled by Cortaxiom and may be subject to their own terms, technical limitations, and availability.
10. Third-Party Systems Integrations
If you subscribe to Premium or Elite service tiers, the Extension may provide access to integrations with customer-authorized third-party systems including: - Point-of-Sale (POS) platforms - Inventory management systems - Operations and workflow platforms as configured by your organization Integration Principles: These integrations operate through documented, customer-authorized APIs. The Extension accesses third-party systems only as directed by your explicit requests and only to the extent necessary to fulfill those requests. The Extension does NOT (Cortaxiom reserves the right to change this item in accordance with our Terms of Service and Privacy Policy with notification to the licensed user upon change to this subsection of the EULA): - Process payments, capture payment credentials, or initiate financial transactions through POS integrations. - Ask you for API keys, passwords, tokens, or authentication secrets in conversation. Integration credentials are configured through secure admin interface or OAuth flow managed by Cortaxiom infrastructure (outside the Extension's conversational layer). - Broker or sell data between integrated systems. Data flows only as directed by your explicit request within your authorized session. All write operations (create, update, delete) in third-party systems require your explicit confirmation. The Extension will stage the action and present a confirmation prompt showing: - Which system will be affected - What will be created, updated, or deleted - Any data being pulled from the current page You must click "Confirm" or take equivalent affirmative action before the Extension executes the action. You acknowledge that: - Third-party system integrations are subject to the availability, terms, and technical limitations of those third-party providers. - Cortaxiom is not responsible for outages, data loss, errors, or failures arising from third-party system APIs or changes to third-party platforms. - You remain solely responsible for verifying outputs and actions before executing them in third-party systems.
11. Ownership; Intellectual Property
The Extension and all related software, content, and intellectual property rights are owned by Cortaxiom and its licensors and are protected by applicable laws. Except for the limited license granted in this EULA, Cortaxiom reserves all rights, title, and interest in and to the Extension.
12. Updates and Changes to the Extension
Cortaxiom may provide updates, patches, enhancements, or modifications to the Extension. The Extension may update automatically depending on your browser settings. Cortaxiom may change, suspend, or discontinue the Extension (or any feature) at any time, including to maintain security, comply with law, or reflect product changes.
13. Feedback
If you provide suggestions, ideas, or feedback regarding the Extension or Services, you grant Cortaxiom a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without restriction or compensation, to the extent permitted by law.
14. Termination
This EULA is effective until terminated. You may terminate this EULA at any time by uninstalling and ceasing all use of the Extension. Cortaxiom may suspend or terminate your rights to use the Extension if you violate this Agreement or if necessary to protect the Services, Cortaxiom, Customers, or third parties. Upon termination, you must stop using the Extension and delete/uninstall all copies.
15. Disclaimers
THE EXTENSION IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CORTAXIOM DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ADDITIONAL DISCLAIMERS MAY BE SET FORTH IN THE Terms of Service.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CORTAXIOM’S LIABILITY RELATED TO THE EXTENSION IS LIMITED AS SET FORTH IN THE Terms of Service, WHICH IS INCORPORATED BY REFERENCE.
17. Indemnification
You agree to defend, indemnify, and hold harmless Cortaxiom and its affiliates, officers, directors, employees, and agents from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Extension, your submitted Page Content, or your violation of this Agreement.
18. Governing Law
This EULA is governed by the laws of the State of Texas, without regard to conflict-of-law rules, as further described in the Terms of Service.
19. Changes to This EULA
Cortaxiom may update this EULA from time to time. If you continue to use the Extension after an updated EULA becomes effective, you agree to the updated terms. If you do not agree, you must stop using and uninstall the Extension.
