These Terms of Service (“Terms”) govern your access to and use of the Cortaxiom website, demos, and services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

1) Definitions

For purposes of these Terms:

  • “Cortaxiom,” “we,” “our,” or “us” means Cortaxiom LLC (and any future legal entity that owns and operates Cortaxiom).

  • "Terms" means these Terms of Service, together with any referenced policies, incorporated documents, Orders, Statements of Work (SOWs), Master Service Agreements (MSAs), or other written agreements that govern use of the Services, as applicable.

  • "Governing Terms" means, collectively, the Cortaxiom Browser Extension End User License Agreement ("EULA") and the Cortaxiom Terms of Service, together with any policies, guidelines, or documents expressly incorporated by reference therein, as each may be updated from time to time. The Governing Terms govern the installation, access, and use of the Cortaxiom Browser Extension, any Extension Interface, and any related services or functionality provided by Cortaxiom.

  • "Services" means the Cortaxiom website, applications, APIs, AI systems, interfaces, widgets, workflows, deployments, demos, previews, trial environments, subscription offerings, and any related features, tools, or functionality provided by Cortaxiom, whether in production, evaluation, or non-production form, as made available from time to time.

  • “You” or “Customer” means the individual or organization accessing or using the Services.

  • “Content” means text, files, documents, data, images, instructions, prompts, or other materials.

  • “Customer Content” means Content you provide, upload, transmit, submit, or otherwise make available in connection with the Services (including via forms, demos, or AI interactions).

  • “Outputs” means responses, messages, summaries, classifications, or other results generated by the AI system based on inputs.

  • “Demo,” "Trial," or "Preview" means any non-production demonstration environment, chatbot, trial, or evaluation deployment.

  • “Order,” “SOW,” or “Statement of Work” means a document that describes the scope, deliverables, pricing, and specific terms for a paid engagement.

  • “MSA” means a Master Service Agreement, if used, between Cortaxiom and a Customer.

  • “Tier” means your subscription plan or service level (as described on our Pricing page or your Order/SOW).

  • "Browser Extension" means a software add-on (including for web browsers such as Opera and other Chromium-based browsers) that is installed into a user's web browser and provides an interface to certain Services.

  • "Extension Interface" means any user interface, pop-up, sidebar, overlay, widget, floating pill, command surface, or interaction element provided through the Browser Extension.

  • "Active Tab" means the web page or browser tab currently selected by the user at the time the user interacts with the Extension Interface.

  • "Page Content" means text, visible webpage content, user selections, and other information that the user chooses to provide or make available to the Services through the Browser Extension, including derived from the Active Tab.

  • "Security Incident" means any actual or suspected unauthorized access to, disclosure of, or interference with data or systems used in connection with the Services.

  • "User-Initiated Submission" means a submission of Page Content or other Customer Content to the Services that occurs only after a user takes an affirmative action through the Extension Interface (for example, clicking a button, submitting a prompt, or confirming a warning).

  • "Third-Party AI Provider" means a third-party service provider that performs AI processing on behalf of Cortaxiom, as described in the Privacy Policy.

  • "Usage Limits" means quantitative or qualitative limits or usage caps on use of the Services, including but not limited to limits on conversations, messages, tokens, throughput, request rates, bursts, concurrency, or other resource consumption metrics, as determined by Cortaxiom based on the applicable Tier, Order, SOW, operational constraints, or system conditions.

  • "Fair Use," "fair use," "fair-use," or "Fair-Use" means use of the Services  in a manner that is consistent with the intended purpose and expected usage patterns of the applicable Tier, does not disproportionately consume shared or finite system resources, does not impair service availability, reliability or performance for other users, and aligns with Cortaxiom's operational, security, and sustainability requirements necessary to maintain the Service over time. 

  • “NDA” means a Non-Disclosure Agreement, whether mutual or unilateral, entered into between Cortaxiom and a Customer, either as a standalone agreement or incorporated into an Order, Statement of Work, or Master Service Agreement, that governs the confidentiality, use, and protection of confidential or proprietary information exchanged between the parties.

  • "Web Search" or "Web Search Capability" means the built-in functionality available within certain AI model deployments used by Cortaxiom that enables the AI system to query third-party search infrastructure to retrieve publicly available information from the internet in real time, in response to or in connection with a user's interaction with the Services

  • "Search Query" means any query, keyword, phrase, or derived search term generated by the AI system or derived from Customer Content, user inputs, prompts, or conversation context and transmitted to a third-party search provider in connection with the Web Search Capability.

  • "Search-Sourced Content" means any text, data, information, links, summaries, excerpts, or other content retrieved from publicly available internet sources through the Web Search Capability and incorporated into or referenced within Outputs.

  • "Search Provider" means any third-party service, platform, or infrastructure (including search engines, indexing services, and web retrieval APIs) used by Cortaxiom or its Third-Party AI Providers to perform Web Search on behalf of the Services.

2) Scope of These Terms

These Terms apply to:

  • Use of our website and any pages, forms, or content on it

  • Use of our Demo bot(s) and trial experiences

  • Subscription plans and client portal access (if enabled)

  • Any non-custom engagement not otherwise governed by a signed MSA/SOW

  • These Terms do not replace or override any Non-Disclosure Agreement (“NDA”) entered into between Cortaxiom and a Customer. Any confidentiality obligations between the parties are governed by the applicable NDA, and in the event of a conflict, the NDA controls with respect to confidential information.

  • These Terms also apply to any Browser Extension and Extension Interface provided by Cortaxiom. The Browser Extension is a "Service" for these Terms and may be imposed by the applicable browser or extension marketplace.

If you sign an MSA/SOW/NDA (or other written agreement) with Cortaxiom, that agreement controls if there is a conflict with these Terms.

3) Eligibility and Account Responsibilities

You must be at least 18 years old and able to form a binding contract to use the Services.

If you create an account or access a client login area:

  • You are responsible for maintaining the confidentiality of your login credentials.

  • You are responsible for all activities under your account.

  • You must provide accurate, current information and keep it updated.

  • You agree to notify us promptly of any unauthorized use or security breach.

We may suspend or disable access if we reasonably suspect fraud, abuse, security threats, or violation of these Terms.

4) Description of Cortaxiom Interfaces and Tiers

Cortaxiom may offer multiple service tiers and interface, application, or widget experiences, which may include (examples):

  • Demo / Trial / Preview Tier(s): controlled access, limited functionality, limited availability, and usage caps.

  • Standard / Core/ Premium / Pro Tier(s): production deployment with defined scope, support parameters, usage caps, and operational controls.

  • Elite / Enterprise Tier(s): expanded configuration, higher limits, enhanced controls, usage caps, and priority handling.

Important: Tier features, limits, and availability may be described on the Pricing page, inside the client portal, and/or within an Order/SOW. If there is a conflict, the Order/SOW controls for paid engagements.

Each Tier is subject to Usage Limits, fair-use controls, and operational boundaries designed to maintain service availability, reliability, and performance across all users. Usage Limits may be enforced through technical controls, including rate limiting, throttling, temporary restriction, or suspension, and are an essential condition of access to the Services.

5) Demo and Trial Terms (Controlled Environment)

If you use a Cortaxiom Demo:

  • No guarantee of availability. Demo access may be throttled, paused, or unavailable due to fair-use controls, maintenance, demand, or technical constraints.

  • Not production. The Demo is not designed for operational reliance, regulated use, or critical workflows.

  • No warranties. Demo performance is offered “as-is” for evaluation only.

  • No sensitive data. Do not submit sensitive personal information (e.g., medical data, financial account numbers, government IDs) into the Demo.

  • Logging. Demo interactions may be logged for quality, safety, and improvement as described in our Privacy Policy.

5.1 Previews, Demonstrations, and Evaluation Features

Any preview, demonstration, or evaluation features provided by Cortaxiom are offered for informational and testing purposes only. Such features may be limited in functionality, subject to change, or discontinued at any time, and may not reflect full production performance, availability, or feature sets.

6)Use of Artificial Intelligence and Third-Party Model Providers

The Services incorporate artificial intelligence technologies, including large language model and related systems, which may be provided, hosted, or operated by third-party service providers. In order to deliver Services, Customer Content, prompts, and interaction data may be transmitted to and processed by such third-party providers solely for the purpose of generating outputs, operating platform functionality, enforcing safety controls, and maintaining service reliability.

You the Customer acknowledges that the Services depend in part on third-party technologies that are not owned or controlled by Cortaxiom, and that use of the Services may therefore be subject to the terms, policies, and technical limitations of such providers. Cortaxiom does not control and is not responsible for the internal operation, availability, latency, or model behavior of third-party AI providers.

6.1 Nature and Limitations of AI Outputs

Outputs generated by the Services are probabilistic in nature and may vary between interactions, even when similar or identical inputs are provided. Cortaxiom does not guarantee the accuracy, completeness, consistency, or suitability of any output for any particular purpose.

You the Customer remains solely responsible for reviewing, verifying, and validating all outputs before relying on or using them in any decision-making, operational, or external context.

6.2 Browser Extension Page Access and User Control

If you install and use a Cortaxiom Browser Extension, you acknowledge and agree that:

Governing Terms:

  1. Your installation, access and use of the Cortaxiom Browser Extension and any related Extension Interface are governed by the Cortaxiom Browser Extension End User License Agreement ("EULA") and the Cortaxiom Terms of Service (collectively, the "Governing Terms"), available at:

    By installing, accessing, or using the Browser Extension or Extension Interface, you acknowledge that you have read, understand, and agree to be bound by the Governing Terms, as they may be updated from time to time. If you do not agree to the Governing Terms, you must not install, access, or use the Browser Extension or Extension Interface.

  2. ​Consent and Activation Model:

    • First-Run Consent: - If supported, on first installation, the Extension will present a consent prompt explaining what data it accesses, what it does, and how to pause or disable it. - You must provide affirmative consent before the Extension activates.

    • Per-Site Authorization: - If supported, you may configure which sites/domains the Extension is active on. - By default, the Extension is active only on your organization's own domains and explicitly authorized sites. - You must explicitly authorize the Extension for third-party sites (e.g., vendor portals, partner systems). - The Extension displays a visible indicator when active on a page.

    • Pause and Disable Controls: - If supported, you may pause the Extension (temporarily disable without uninstall) via browser toolbar icon, keyboard shortcut, or settings panel. - Paused state persists across browser sessions until you re-enable. - You may disable the Extension entirely for specific sites or site patterns.

  3. Page Content Access and User-Initiated Submission:

    • Depending on user settings, third-party browser settings, and available settings, the Browser Extension may access Page Content from the Active Tab only to the extent necessary to perform the user-requested function and only through User-Initiated Submission.

    • Depending on user settings, third-party browser settings, and available settings, the Browser Extension does not autonomously transmit Page Content to Cortaxiom or any Third-Party AI Provider. Transmission occurs only when you affirmatively submit content through the Extension Interface or complete required confirmation steps.

    • Depending on user settings, third-party browser settings, and available settings, the Browser Extension may display warnings or confirmation prompts prior to processing or transmitting Page Content, including warnings that Page Content may contain sensitive, confidential, regulated, or personal information.

  4. Context Boundaries and Data Minimization:

    • Depending on user settings, third-party browser settings, and available settings, the Extension captures only visible page content (not full DOM, not background tabs).

    • Depending on user settings, third-party browser settings, and available settings, Capture occurs only when you invoke Cortaxiom (e.g., click icon, use keyboard shortcut, or Extension proactively surfaces a suggestion).

    • Depending on user settings, third-party browser settings, and available settings, Captured context is not stored persistently; it exists only for the duration of the conversation session.

    • Depending on user settings, third-party browser settings, and available settings, Cortaxiom does not blend context from multiple sites without your explicit request.

    • Depending on user settings, third-party browser settings, and available settings, the Extension respects a blocklist of sensitive site categories (financial, healthcare, legal, etc.) unless you explicitly authorize.

    • Depending on user settings, third-party browser settings, and available settings, if you navigate to a sensitive site, the Extension pauses automatically and displays: "Extension is paused on this page for your privacy. Click to activate if needed."

    • Depending on user settings, third-party browser settings, and available settings, the Extension does not build or store a persistent log of sites visited.

  5. Action Gating and User Confirmation:

    • Depending on user settings, third-party browser settings, and available settings, the Extension may proactively surface suggestions ("It looks like you're viewing a customer record, would you like to create a ticket?"). Suggestions do not execute actions; they present options for you to choose.

    • Depending on user settings, third-party browser settings, and available settings, if you request an action via Extension (e.g., "Create a ticket for this customer"), the Extension stages the action and presents a confirmation prompt showing what will be created/updated/sent and which system will be affected.

    • Depending on user settings, third-party browser settings, and available settings, if you navigate away from the page before confirming, the staged action is discarded.

  6. Your Responsibilities:

    • You are solely responsible for determining whether the Page Content you submit is appropriate to transmit to Cortaxiom and any Third-Party AI Provider, and for removing or redacting sensitive information before submission.

    • You acknowledge that AI can and will make mistakes or miss potentially sensitive information, and it is your responsibility to review Page Content PRIOR to interacting with the Browser Extension and Extension Interface.

    • You acknowledge that your use of the Browser Extension and Extension Interface must follow all local, state, and government rules, regulations, and laws. Using the Browser Extension in a manner prohibited by law may result in immediate termination of Services and may trigger regulated or required reporting to appropriate Law Enforcement officials.

    • You acknowledge that Cortaxiom is not responsible for any Customer Content, Page Content, sensitive, confidential, regulated, or personal information that is transmitted by the Browser Extension to any third-party provider. You alone hold that responsibility as the user.

    • You are solely responsible for determining whether the Page Content you submit is appropriate to transmit to Cortaxiom and any Third-Party AI provider, and for removing or redacting sensitive information before submission where appropriate and acknowledge that AI can and will make mistakes or miss potentially sensitive information and thus it becomes your responsibility to check any Page Content PRIOR to interacting with the Browser Extension and Extension Interface.

  7. The Browser Extension may access Page Content from the Active Tab only to the extend necessary to perform the user-requested function and only through User-Initiated Submission.

  8. The Browser Extension may display warnings or confirmation prompts prior to processing or transmitting Page Content, including warnings that Page Content may contain sensitive, confidential, regulated, or personal information. If you proceed after receiving such warnings, you are directing Cortaxiom to process the submitted Page Content as Customer Content under these Terms.

  9. You acknowledge that your use of the Browser Extension and Extension Interface must follow all local, state, and government rules, regulations, and laws and that using the Browser Extension in such a way that is prohibited by them can be cause for immediate termination of Services and may initiate regulated or required reporting of your actions to the appropriate Law Enforcement officials but that Cortaxiom is not responsible for such reporting if such a situation is not observable or known to or been notified of by which is controlled by Cortaxiom's ability to do so.

6.3 Clarification Obligation and Action Intent Detection​

Cortaxiom's Services are designed to operate under user direction, not autonomous decision-making. To enforce this principle, Cortaxiom applies a mandatory clarification process when a user intent is unclear, incomplete, or could be interpreted in multiple ways. You acknowledge that even with this Action Intent Detection clarification process in place, Artificial Intelligence may still make mistakes and miss potentially ambiguous inputs and proceed with your input without further clarification and that Cortaxiom is not liable for any third-party provided model behavior or responses after the user has committed/sent an input. You, the user must govern all input with careful consideration and not depend on AI or Cortaxiom Services to interpret when more information is needed. You, the user must check all outputs for accuracy prior to depending on them as AI can make mistakes.

  • Mandatory Clarification Conditions: The Services may ask clarifying questions (and may not proceed to action staging or execution) when:

  1. Required Parameters Missing: An action request lacks an explicit recipient, target, scope, or essential detail (e.g., "send an email" without specifying recipient).​

  2. Ambiguous Scope or Target: A request could apply to multiple entities, records, or contexts (e.g., "update the ticket" when multiple tickets are in context).

  3. Conditional or Tentative Language: User employs words suggesting uncertainty such as "maybe," "probably," "might," "could," or " if."

  4. Informational vs. Actionable Ambiguity: A request could be seeking information OR requesting action execution (e.g., "show me an email" could mean 'show example' or draft email to send').

  5. Incomplete Context: Request references prior context that is unclear, contradictory, or missing

  6. Safety-Critical or Sensitive Actions: Request involves customer communication, data modification, external notification, or regulated domain.

When any of these conditions exist, the Services may respond conversationally with a targeted clarifying question rather than staging an action for confirmation. This clarification behavior is not optional and applies across all tiers. Cortaxiom does not guarantee quality of clarification question(s) or behavior or the ability of third-party providers to recognize when clarification question(s) are appropriate, needed, or regulated. It is the user's responsibility to take these clarification questions, should they be presented, seriously as they are meant to keep the user informed and for the user to be in control of decision-making. 

  • USER AKNOWLEDGMENT:

    • By using the Services, you acknowledge that:​

      • Clarification questions are a safety feature designed to keep you, the user, in control and prevent unintended actions.​

      • The Services may refuse to stage actions (email drafts, ticket creations, system integrations, etc.) based on speculative or incomplete understanding of your intent.

      • You may be asked to provide additional details before the Services proceed with action preparation or execution. 

      • You acknowledge that this clarification safety feature is not guaranteed by Cortaxiom as it depends on third-party providers and you will not hold either Cortaxiom or any of its third-party providers responsible for any outcomes from any unidentified ambiguous inputs that you the user submit, commit, or input in any form of Cortaxiom Services you choose to take part in or be exposed to knowingly or unknowingly after being presented with the chance to read these Terms at any time past, present or future as it is declared in these Terms to stay informed on periodic changes to these Terms and our right to make changes to them at any time without prior notification.

    • This clarification process is enforced by Cortaxiom's architectural safeguards and should not be bypassed by user instruction or configuration.

6.4 Web Search Capability and Search-Sourced Content

Availability and Purpose:

Certain features of the Services may utilize a Web Search Capability that allows the AI system to retrieve publicly available information from the internet in real time to supplement responses. The Web Search Capability is designed to enhance the usefulness and currency of Outputs by allowing the AI system to access information beyond its training data and beyond statically configured content. The Web Search Capability may be available in some or all Tiers and may be enabled, disabled, restricted, or modified by Cortaxiom at any time without prior notice.

Third-Party Search Infrastructure:

The Web Search Capability is provided through third-party search infrastructure that is not owned, operated, or controlled by Cortaxiom. When the AI system determines that a Web Search is appropriate in response to a user interaction, portions of the user's input, conversation context, or derived Search Queries may be transmitted to a Search Provider for processing. This transmission occurs automatically as part of the AI system's operation and does not require separate user confirmation for each search.

You acknowledge and agree that:

Data transmitted to Search Providers in connection with the Web Search Capability may be processed under the Search Provider's own terms of use, privacy policies, and data handling practices, which may differ materially from the terms governing Cortaxiom's AI model processing and from any data protection agreements between you and Cortaxiom. The Microsoft Data Protection Addendum and any similar data protection agreements applicable to Cortaxiom's AI model processing do not apply to data transmitted to Search Providers for the purpose of Web Search. Such data may be processed outside of your compliance boundary and geographic region. Cortaxiom does not control the indexing, ranking, availability, accuracy, completeness, legality, or appropriateness of content returned by Search Providers, and Cortaxiom does not review, verify, endorse, or guarantee any Search-Sourced Content before it is incorporated into Outputs. Search-Sourced Content may be outdated, inaccurate, incomplete, misleading, biased, or sourced from websites or publications that Cortaxiom has no relationship with and no ability to verify.

Nature and Limitations of Search-Sourced Content:

Search-Sourced Content is subject to all the same limitations, disclaimers, and non-reliance obligations set forth in Section 6.1 (Nature and Limitations of AI Outputs), Section 8 (AI Disclosures and Non-Reliance), Section 19 (Disclaimers), and Section 20 (Limitation of Liability) of these Terms. In addition: Outputs that incorporate Search-Sourced Content may present information as though it is current or authoritative when it may not be. The AI system may not always clearly distinguish between information derived from its training data, configured business data, and real-time search results. Cortaxiom does not warrant that Search-Sourced Content is current, accurate, complete, lawful, or appropriate for any particular purpose or jurisdiction. Cortaxiom does not warrant that the Web Search Capability will retrieve the most relevant, most accurate, or most recent information available on any topic. You remain solely responsible for independently verifying any information contained in Outputs, including information derived from or supplemented by Search-Sourced Content, before relying on, distributing, publishing, or acting on such information in any context.

User Responsibility and Liability for Searches:

You acknowledge and agree that all Web Searches conducted by the Services are initiated in response to your inputs, prompts, queries, or interactions with the Services. You are solely responsible for the content of your inputs and for any Search Queries that are derived from your inputs. Cortaxiom does not independently initiate Web Searches unrelated to user interactions.

YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY LIABLE FOR ANY AND ALL SEARCHES CONDUCTED THROUGH THE SERVICES IN RESPONSE TO YOUR INPUTS, INCLUDING WITHOUT LIMITATION ANY SEARCHES THAT RETRIEVE, SURFACE, LINK TO, OR REFERENCE CONTENT THAT IS INACCURATE, DEFAMATORY, INFRINGING, OFFENSIVE, ILLEGAL, HARMFUL, OR OTHERWISE OBJECTIONABLE. NEITHER CORTAXIOM NOR ANY THIRD-PARTY AI PROVIDER, SEARCH PROVIDER, OR OTHER SERVICE PROVIDER SHALL BE LIABLE FOR THE CONTENT, ACCURACY, LEGALITY, OR APPROPRIATENESS OF SEARCH RESULTS RETRIEVED IN RESPONSE TO YOUR INPUTS OR FOR ANY DAMAGES, LOSSES, CLAIMS, OR LIABILITIES ARISING FROM YOUR USE OF, RELIANCE ON, OR DISTRIBUTION OF SEARCH-SOURCED CONTENT.

You agree NOT to use the Web Search Capability to:

​Conduct searches intended to retrieve illegal content, including but not limited to content related to exploitation, trafficking, controlled substances, weapons manufacturing, fraud, hacking, or any other content whose creation, distribution, possession, or consumption is prohibited by applicable law. Conduct searches intended to retrieve sexually explicit, graphically violent, or age-restricted content. While Cortaxiom's Services are not intended for individuals under the age of 18, the Web Search Capability operates under the assumption that search results may be viewed by persons of any age and must not be used to surface content that would be inappropriate for individuals under 18 years old. Conduct searches intended to locate, compile, or retrieve personal, private, or sensitive information about any individual, including home addresses, phone numbers, financial information, medical records, criminal history, or social media accounts for purposes of surveillance, profiling, harassment, or stalking. Conduct searches that would expose Cortaxiom, any Third-Party AI Provider, any Search Provider, or any third party to legal liability, including searches designed to retrieve content that could constitute or facilitate defamation, trademark infringement, copyright violation, trade secret misappropriation, or any other legally actionable conduct. Use search results to generate Outputs that misrepresent the source, accuracy, or authority of the information, or that attribute fabricated statements or positions to real individuals, organizations, or publications. Violation of these restrictions constitutes a violation of the Acceptable Use provisions of these Terms (Section 7) and may result in immediate suspension or termination of access to the Services. Cortaxiom reserves the right to implement domain filtering, content filtering, query filtering, or other technical controls on the Web Search Capability at any time to protect the safety, integrity, and legal compliance of the Services. Such controls may limit the scope, availability, or results of Web Searches and may be applied without prior notice.

DISCLAIMER OF LIABILITY FOR WEB SEARCH:

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CORTAXIOM, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, THIRD-PARTY AI PROVIDERS, SEARCH PROVIDERS, AND ALL OTHER SERVICE PROVIDERS DISCLAIM ALL LIABILITY FOR ANY CLAIMS, DAMAGES, LOSSES, OR LIABILITIES ARISING FROM OR RELATED TO THE WEB SEARCH CAPABILITY, INCLUDING WITHOUT LIMITATION: THE ACCURACY, COMPLETENESS, LEGALITY, CURRENCY, RELIABILITY, OR APPROPRIATENESS OF ANY SEARCH-SOURCED CONTENT; THE AVAILABILITY, PERFORMANCE, OR RESULTS OF ANY SEARCH PROVIDER; ANY DECISIONS, ACTIONS, COMMUNICATIONS, OR RELIANCE BASED ON SEARCH-SOURCED CONTENT; ANY CONTENT RETRIEVED THROUGH WEB SEARCH THAT IS INACCURATE, MISLEADING, DEFAMATORY, INFRINGING, OFFENSIVE, HARMFUL, OR ILLEGAL; ANY TRANSMISSION OF USER INPUTS OR DERIVED SEARCH QUERIES TO SEARCH PROVIDERS; ANY PROCESSING OF SEARCH DATA BY SEARCH PROVIDERS UNDER THEIR OWN TERMS AND POLICIES. 7) Acceptable Use (Non-Negotiable)

You agree not to use the Services to:

  • Violate any law or regulation

  • Infringe intellectual property rights or privacy rights

  • Submit or transmit malware, spyware, or harmful code

  • Probe, scan, or test vulnerabilities of any Cortaxiom system without permission

  • Attempt to bypass limits, throttles, access controls, or authentication

  • Scrape, harvest, or collect data from the Services at scale

  • Reverse engineer or attempt to extract interface, application, or widget instructions, prompts, system design, or other proprietary logic (including “prompt injection” or “jailbreak” attempts)

  • Generate, request, or distribute content that is illegal, threatening, or intended to cause harm

  • Use the Services to make automated decisions with legal/medical/financial consequences without appropriate professional review and safeguards

We may suspend or terminate access immediately if we determine, in our sole discretion, that your use creates risk, abuse, harm, or legal exposure.

7.1 Usage Limits, Fair-Use, and Service Protection

The Services are provided subject to Usage Limits and fair-use requirements intended to preserve system stability, performance, and equitable access across all Customers. Cortaxiom reserves the right, in its sole discretion, to impose, modify, or enforce usage limits, rate limits, access controls, or Service restrictions as necessary to protect system integrity, availability, and fair-use.

You acknowledge and agree that:

  • Each Tier includes defined or implied Usage Limits, whether expressed as conversations, tokens, throughput, time, or other resource measures;

  • Usage Limits may be enforced on a monthly, weekly, daily, or real-time basis;

  • Approaching Usage Limits may result in progressive controls, including reduced throughput, temporary throttling, or staged restrictions to prevent abrupt service interruption;

  • Exceeding Usage Limits may result in a hard stop, suspension, or denial of further access to the Service for the remainder of the applicable usage period.

Cortaxiom is not obligated to provide overages, excess capacity, or continued access beyond Usage Limits unless expressly agreed to in writing.​

7.2 Enforcement, Monitoring, and Protective Measures

To protect the Services, Cortaxiom, Customers, and third parties, Cortaxiom may monitor usage patterns and systems activity and may take protective actions including, without limitations:

  • Enforcing subscription Tier limits and fair use boundaries;

  • Detecting, preventing, and responding to misuse, abuse, or attempts to bypass safeguards;

  • Triggering automated or manual throttling, restriction, or suspension;

  • Temporarily or permanently limiting access where continued operation would pose operational, security, or compliance risk.

Such actions may be applied automatically, manually, or through a combination of both, and may occur without prior notice where necessary to protect the Services.​

7.3 Fair-Use Policy and Enforcement

Use of these Services is subject to the Fair-Use requirements intended to preserve service stability, reliability, security, and long-term operability across all Customers.

You acknowledge and agree that use may be deemed inconsistent with Fair-Use or fair use if it:

  • Exceeds, attempts to evade, or seeks to circumvent applicable Usage Limits;

  • Creates excessive, sustained, or abnormal load relative to the applicable Tier or expected usage patterns;

  • Impairs or risks impairing system performance, availability, or reliability for other users;

  • Interferences with monitoring, throttling, gating, authentication, or other technical safeguards;

  • Undermines Cortaxiom's ability to safely operate, secure, or sustain the Service.

To enforce Fair-Use and protect the Services, Cortaxiom may apply operational and technical controls, including progressive throttling, reduced throughput, temporary restrictions, hard usage stops, or suspension of access for the remainder of a usage period.​

Fair-Use Determinations and enforcement actions may be implemented through automated systems, human review, or a combination of both, and may occur without prior notice where immediate action is reasonably necessary to protect the Services, Cortaxiom, Customer, or third parties.

7.4 Service Sustainability and Business Viability

You acknowledge that the Services rely on shared infrastructure and third-party dependencies, and that sustainable operation requires balanced resource use across Customers. Usage Limits, gating, and enforcement mechanisms are essential to maintaining long-term service availability and are not penalties, but protective operational controls.

7.5 Browser Extension Restrictions and Sensitive Information Blocking

Without limiting the Acceptable Use restrictions above, you agree you will not use the Browser Extension to:

  • Collect, scrape, harvest, or exfiltrate credentials, authentication tokens, payment data, verification codes, or other sensitive access data from web pages;

  • Submit or transmit regulated, highly sensitive, or confidential information (including health, financial account, government identifiers, or protected personal data) unless expressly authorized by Cortaxiom in writing under an appropriate agreement (e.g., an applicable DPA or enterprise agreement);

  • Use the Browser Extension in a manner that violates any third-party website's terms, applicable law, or the rights of others.

Active Sensitive Information Blocking:

  • The Browser Extension and Services are designed to detect and refuse to stage actions (emails, tickets, POS writes, notifications, etc.) that would transmit sensitive information such as:

    • Social security numbers, tax identifiers, or government-issued ID numbers​

    • Credit card numbers, bank account details, or payment credentials

    • Passwords, API keys, authentication tokens, or security codes

    • Medical records, health information, or protected health data (PHI)

    • Other regulated or highly sensitive personal information

  • If the Services detect such information in a requested action, the Services may:

    • Refuse to stage the action as requested​

    • Explain the risk clearly: (e.g., "I can't include [sensitive data type] in an email/ticket for security reasons")

    • Offer a safe alternative: (e.g., "Instead, I can draft a message asking them to contact you through a secure channel" or "I can create a ticket without that detail and you can add it through your secure system")

This sensitive information blocking applies even if you explicitly request the action. Cortaxiom does not intentionally facilitate unsafe transmission of sensitive information, regardless of user intent. You acknowledge that sensitive information detection is automated and probabilistic. While Cortaxiom applies reasonable safeguards, you remain solely responsible for reviewing all Page Content and action outputs before submission or execution. You understand that Cortaxiom cannot and is not guaranteeing Sensitive Information Blocking and must rely on your own judgement for all Sensitive Information Blocking situations that arise during the use of Cortaxiom Services.

7.6 Web Search Acceptable Use

Without limiting the Acceptable Use restrictions set forth in Section 7, you agree that your use of the Web Search Capability is subject to the specific restrictions and user liability provisions set forth in Section 6.4 (Web Search Capability and Search-Sourced Content). Any violation of the Web Search restrictions in Section 6.4 shall be treated as a violation of this Section 7 and may result in the same enforcement actions, including immediate suspension or termination of access to the Services.

8) AI Disclosures and Non-Reliance

AI systems can produce inaccurate, incomplete, or misleading Outputs.

You acknowledge and agree:

  • Outputs are informational only and may not be correct.

  • You are responsible for verifying Outputs before using them for decisions, communications, policies, medical/health matters, legal matters, financial matters, HR matters, or compliance-related matters.

  • Cortaxiom does not provide medical, legal, financial, or professional advice through the Services unless explicitly agreed in writing and within a defined scope.

If you are using the Services in a business setting, you agree to implement appropriate human review, controls, and policies.

Where Outputs incorporate Search-Sourced Content retrieved through the Web Search Capability, you acknowledge that such content introduces an additional layer of potential inaccuracy, as the AI system is combining its own probabilistic processing with information from external web sources that Cortaxiom has not reviewed, verified, or endorsed. You are responsible for exercising heightened diligence when reviewing and relying on Outputs that may contain Search-Sourced Content, and you agree that the non-reliance and verification obligations set forth in this Section apply with equal or greater force to Search-Sourced Content as they do to all other Outputs.

9) Customer Content, Inputs, and Your Responsibilities

You retain ownership of your Customer Content.

You represent and warrant that:

  • You have the rights and permissions to provide Customer Content to Cortaxiom.

  • Your Customer Content does not violate law or infringe on third-party rights.

  • You will not submit sensitive personal information into the Services unless explicitly required for a paid engagement and governed by an appropriate written agreement (e.g., DPA).

You are responsible for the accuracy, legality, and compliance of any Customer Content you provide.

9.1 Page Content as Customer Content

If you use the Browser Extension, Page Content you submit through the Extension Interface constitutes Customer Content under these Terms. Web Pages may contain sensitive or confidential information (including personal data, account information, internal business materials, or regulated content). You are responsible for reviewing, redacting, and controlling Page Content before submission or interaction with the Browser Extension and Extension Interface, and you should not submit or expose sensitive or regulated content through AI-powered features unless explicitly permitted under an applicable written agreement. 

10) License to Use Customer Content

To provide the Services, you grant Cortaxiom a limited, worldwide, non-exclusive license to use, host, reproduce, process, and display Customer Content only as necessary to:

  • Operate and maintain the Services

  • Provide support

  • Configure deployments

  • Improve safety and performance (consistent with the Privacy Policy and any paid agreement)

We do not claim ownership of your Customer Content.

11) Intellectual Property and Content Ownership (Cortaxiom IP)

All rights, title, and interest in and to the Services, and all content and materials made available by Cortaxiom, are and shall remain the exclusive property or Cortaxiom.

This includes, without limitations:

  • The Cortaxiom website and all site content;

  • User interface designs, layouts, visual elements, and interaction patterns;

  • Logos, trademarks, service marks, trade dress, branding, and naming conventions;

  • Images, graphics, icons, illustrations, animations, audio, video, and other media;

  • Written content, copy, documentation, help text, policies, and disclosuers;

  • Software, source code, object code, script, APIs, workflows, and automations;

  • AI system architecture, interface, application, or widget behavior, prompt frameworks, system instructions, evaluation methods, and orchestration logic;

  • Demo, preview, and trial environments and their outputs, configurations, and presentation.​

Collectively, the foregoing constitutes "Cortaxiom IP."

Except as expressly permitted under these Terms or in a separate written agreement signed by Cortaxiom, you may not:

  • Copy, reproduce, distribute, transmit, publish, display, perform, or create derivative works from Cortaxiom IP;

  • Scrape, harvest, mirror, or archive any portion of the website, Service, UI, or content;

  • Use Cortaxiom IP to train, fine-tune, evaluate, or benchmark other AI systems;

  • Remove, obscure, or alter any proprietary notices or branding;

  • Use Cortaxiom IP in a manner that suggests affiliation, endorsement, or sponsorship without permission.

Any unauthorized use of Cortaxiom IP is strictly prohibited and may result in immediate suspension or termination of access, as well as legal action.

Nothing in these Terms grants you any ownership rights in Cortaxiom IP All  rights not expressly granted are reserved.

Cortaxiom retains all rights, title, and interest in and to:

  • The Services and underlying software

  • The Cortaxiom website, designs, workflows, automations, and methods

  • Bot scripts, prompt frameworks, system instructions, conversation architecture, and evaluation methodology

  • Branding, names, logos, and related marks

  • Any templates, documentation, playbooks, and materials we provide

No transfer of ownership. Except as explicitly stated, nothing in these Terms grants you ownership or rights in Cortaxiom IP.

11.1 Limited License to Use Services

Subject to these Terms and any payment obligations, Cortaxiom grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes (or evaluation purposes, for Demos).

You may not copy, modify, distribute, sell, sublicense, or create derivative works of Cortaxiom IP except as permitted in writing.

12) Confidentiality and Non-Disclosure

Except as expressly set forth in a written Non-Disclosure Agreement (“NDA”) executed by both Cortaxiom and the Customer, no information exchanged between the parties shall be deemed confidential.

If Cortaxiom and a Customer enter into an NDA, the NDA governs the confidentiality, use, protection, and disclosure of confidential information exchanged between the parties. In the event of any conflict between an NDA and these Terms, the NDA controls solely with respect to confidentiality obligations.

Without limiting the foregoing, the following shall be considered Cortaxiom’s confidential and proprietary information, regardless of whether an NDA is in place:

  • The Services, including all software, systems, architectures, workflows, configurations, prompts, instructions, and internal logic;

  • AI interface, application, widget, or any other proprietary behavior, tuning methods, prompt frameworks, evaluation techniques, and system design;

  • Demonstrations, trial environments, and non-production deployments;

  • Documentation, technical materials, internal processes, roadmaps, and operational methods;

  • Pricing structures, non-public service details, and internal business information.

The Customer agrees not to disclose, reproduce, distribute, reverse engineer, or misuse Cortaxiom’s confidential or proprietary information except as expressly permitted in writing.

No confidentiality obligation is created with respect to information that is publicly available through no fault of the Customer, independently developed without reference to Cortaxiom’s confidential information, or lawfully obtained from a third party without restriction.

Nothing in these Terms obligates Cortaxiom to enter into an NDA or to disclose any confidential or proprietary information. Cortaxiom may withhold or limit disclosures in its sole discretion.

This section survives termination or expiration of these Terms to the extent necessary to protect Cortaxiom’s confidential and proprietary information.

13) Outputs and Ownership

As between you and Cortaxiom:

  • You may use Outputs for your internal business purposes, subject to these Terms and your Tier limitations.

  • Outputs may be similar to outputs produced for other users (AI systems can generate similar content).

  • Cortaxiom does not guarantee Outputs are unique, non-infringing, or fit for a particular purpose.

If you use Outputs in customer-facing contexts, you are responsible for ensuring accuracy, compliance, and suitability.

You, the Customer, acknowledge that Cortaxiom provides a governed AI interaction layer that integrates third-party language models to support structured workflows and customer engagement.

14) Subscriptions, Billing, and Payments

If you purchase a subscription:

  • You agree to pay all applicable fees associated with your Tier.

  • Subscription fees may be billed in advance on a recurring basis (monthly or annual), as shown at checkout.

  • Taxes may apply depending on jurisdiction and payment processor settings.

  • Payment processing may be handled by third-party providers (e.g., Wix Payments, Stripe), and your payments are subject to their terms as well.

14.1 Renewals and Cancellation

Unless otherwise stated, subscriptions are renewed automatically until canceled.

  • You may cancel at any time through your account/subscription page (if available) or by contacting us.

  • Cancellation typically takes effect at the end of the current billing period, unless otherwise stated in writing.

  • No refunds are provided for partial billing periods unless required by law or explicitly stated in a written refund policy.

14.2 Receipts and Invoices

Payment confirmations and receipts may be provided automatically.

Formal invoices or detailed billing statements may be available upon request or as otherwise provided under an Order/SOW.

14.3 Usage Limits and No Refunds

Subscription fees grant access to the Services subject to Usage Limits and these Terms. Reaching or exceeding Usage Limits does not entitle you to refunds, credits, service extensions, or continued access beyond the applicable limits.

Cortaxiom does not guarantee that any specific volume of interactions, tokens, or outputs will be available at all times, and availability may vary based on usage patterns, system load, and protective controls.

14.4 Unauthorized Payment Instructions and Fraud

Customers are solely responsible for verifying the authenticity of any payment requests, account changes, or communications purporting to originate from Cortaxiom. Cortaxiom shall not be liable for any losses arising from fraudulent payment instructions, social engineering attacks, phishing attempts, or unauthorized funds transfers, including where such loses result from a customer's reliance on altered, spoofed, or intercepted communications.

14.5 Browser Extension Access and Feature Gating

If the Browser Extension provides access to subscription-based features, such access is conditioned on an active subscription and compliance with these Terms. If your subscription expires, is canceled, is suspended, payment fails, or any other form of termination of Service, Cortaxiom may disable or restrict functionality in the Browser Extension, including but limited to limiting access to certain features, usage volumes, or outputs. You acknowledge that the Browser Extension may continue to remain on your device, but subscription-dependent functionality may be unavailable until subscription status is restored.

15) Support and Service Levels

Support channels and response times may vary by Tier.

Unless otherwise stated in an Order/SOW:

  • We do not guarantee response times, uptime, or uninterrupted operation.

  • Planned maintenance or emergency maintenance may cause downtime.

16) Third-Party Services and Dependencies

The Services may integrate with or depend on third-party tools (including web hosting, analytics, communications, payment processors, and AI providers).

Cortaxiom is not responsible for outages, changes, or failures caused by third parties outside our reasonable control.

The Services may rely on or integrate with third-party platforms, infrastructure providers, networks, or services outside Cortaxiom's control. Cortaxiom shall not be responsible for any delays, interruptions, outages, data loses, or failures resulting from the acts or omissions of third-party service providers, including but not limited to hosting providers, cloud services, telecommunications networks, payment processors, or external application interfaces.

CORTAXIOM DISCLAIMS ALL LIABILITY FOR LOSSES ARISING FROM SERVICE INTERRUPTIONS OR FAILURES CUASED BY SUCH THIRD-PARTY DEPENDENCIES.

16.1 Third-Party System Integrations (Premium/Elite Tiers)

Scope and Posture:

  • Premium and Elite Tier customers may integrate Cortaxiom Services with customer-authorized thrid-party systems including but not limited to

    • Point-of-Sale (POS) platforms​

    • Inventory management systems

    • Operations and workflow platforms as configure by the Customer

  • These integrations are governed connector, not autonomous agents. Cortaxiom does not replace these or any third-party system(s) (including any third-party AI large-language models); it provides a unified conversational interface to reduce cognitive load and improve workflow efficiency.

Intgration Principles:

  1. API-Only Access:

    • All integrations operate exclusively through documented, customer-authorized APIs.​

    • Cortaxiom does not scrape, reverse-engineer, or access systems through unsupported methods

    • API keys, tokens, and credentials are managed by Customer's secure configuration; Cortaxiom does not store or transmit credentials outside authorized session context.

  2. Non-Payment Scope:

    • Cortaxiom does not NOT process payments, capture payment credentials, or initiate financial transactions.​

    • POS integrations are limited to:

      • Reading transaction history, inventory levels, customer records (read-only)​

      • Updating non-financial data (e.g., inventory counts, customer notes, appointment status)

      • Generating reports or summaries from POS data

    • Any action that would trigger a charge, refund, or financial settlement is categorically prohibited.

  3. No Credential Capture:

    • Cortaxiom does not ask users for API keys, passwords, tokens, or authentication secrets in conversation.​

    • Integration credentials are configured through secure admin interface or OAuth flow managed by contractual Cortaxiom infrastructure (outside of conversational layers, Interface, Widget, Browser Extension, or any other Cortaxiom Service).

    • If a user volunteers credentials in conversations, Cortaxiom will make all efforts to refuse to accept them, not log, or store the volunteered information but does not guarantee that it can identify all forms of sensitive information such as credentials as it depends on third-party LLM AI systems which can make mistakes.

  4. User-Confirmed Execution:

    • All write operations (create, update, delete) in third-party or fourth-party systems require explicit user confirmation; Cortaxiom makes no guarantee that it will be able to identify third-party or fourth-party system identifiers indicating the need for user confirmation as this depends of third-party native systems.​

    • Read operations (queries, reports, summaries) may proceed without confirmation but respect customer-defined access controls should they be defined in writing to Cortaxiom. In third-party or fourth-party systems that require explicit user confirmation; Cortaxiom makes no guarantee that it will be able to identify third-party or fourth-party system identifiers indicating the need for user confirmation as this depends of third-party native systems.

    • Confirmation prompts specify which system will be affected and what will change when possible. In third-party or fourth-party systems require explicit user confirmation; Cortaxiom makes no guarantee that it will be able to identify third-party or fourth-party system identifiers indicating the need for user confirmation as this depends of third-party native systems.

  5. Data Minimization:

    • Cortaxiom retrieves only the data necessary to fulfill the user's explicit request or input and interpreted by third-party providers.​

    • Bulk exports, full database dumps, or exploratory queries are prohibited unless explicitly requested and confirmed by authorized user in writing.

  6. No Data Brokerage:

    • Cortaxiom does not willingly sell, share, or broker data between integrated systems. This is a core value of Cortaxiom, but we do reserve the right to change this at any time with proper notification to all users as long as we are in compliance with all relevant laws, rules, and regulations​ set fourth by the governing body that has jurisdiction over Cortaxiom LLC.

    • Data flows only as directed by the options made available to the user for the user's explicit request within their authorized session. Some restrictions may occur due to system and Service development, state, availability, or status.

Prohibited Actions (All Tiers):

  • Process payments or refunds

  • Capture or store payment credentials (credit cards, bank accounts, etc.)

  • Modify financial records or transaction history

  • Grant or revoke user permissions in third-party systems (when applicable)

  • Delete records without explicit user confirmation and verification (when identified)

  • Access systems not explicitly authorized by customer admin configuration, user input, or contract.

LIABILITY:

CORTAXIOM IS NOT RESPONSIBLE FOR OUTAGES, DATA LOSS, ERRORS, OR FAILURES ARISING FROM THIRD-PARTY SYSTEM APIs, CHANGES TO THIRD-PARTY PLATFORMS, OR ACTIONS TAKEN WITHIN THIRD-PARTY SYSTEMS BASED ON USER-EXPLICIT REQUESTS OR INPUT. YOU REMAIN SOLELY RESPONSIBLE FOR VERIFYING OUTPUTS AND ACTIONS BEFORE RELYING ON THEM OR EXECUTING THEM IN THIRD-PARTY SYSTEMS.

17) Privacy

Your use of the Services is subject to the Cortaxiom Privacy Policy (posted on our website).

If you are a paid Customer and the engagement requires additional data protections (e.g., processing personal data at scale or regulated data), Cortaxiom may require a separate agreement (such as a DPA).

18) Security and Data Handling

We implement reasonable safeguards to protect information. However, no system is 100% secure.

You agree:

  • Not to attempt to bypass security controls

  • To use reasonable security practices on your side

  • To notify us if you believe your account has been compromised

18.1 Data Handling and Retention

Cortaxiom retains Customer Content and interactions data only for as long as reasonably necessary to operate, secure, support, and improve the Services, comply with applicable legal obligations, and enforce these Terms. Additional information regarding data collection, processing, retention, and security practices is provided in the Privacy Policy, which is incorporated by reference.

18.2 Browser Extension Environment

You acknowledge that the Browser Extension operates within you browser environment and interacts with web pages you visit. You are responsible for maintaining the security of your device and browser (including keeping the browser updated, using trusted extensions, and preventing unauthorized access to your account). Cortaxiom is not responsible for compromises arising from your device, browser configuration, third-party extensions, malware, or unauthorized access outside of Cortaxiom's reasonable control.

19) Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CORTAXIOM DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, PRIVACY, COMPATIBILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, CORTAXIOM DOES NOT WARRANT THAT THE SERVICES OR ANY OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, TIMELY, SECURE, COMPLETE, OR FREE FROM DEFECTS, OR THAT ANY OUTPUTS WILL BE ACCURATE, RELIABLE, CURRENT, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

CUSTOMER ACKNOWLEDGES AND AGREES THAT OUTPUTS GENERATED BY THE SERVICES ARE PRODUCED THROUGH AUTOMATED AND PROBABILISTIC PROCESSES, MAY CONTAIN ERRORS OR OMISSIONS, AND MAY VARY BASED ON INPUTS, CONTEXT, OR SYSTEM CONDITIONS. CUSTOMER ASSUMES ALL RISK ARISING FROM THE USE OF, RELIANCE ON, OR DISTRIBUTION OF ANY OUTPUTS.

CORTAXIOM MAKES NO REPRESENTATION OR WARRANTY THAT THE SERVICES WILL MEET CUSTOMER REQUIREMENTS, ACHIEVE ANY PARTICULAR RESULT, OR OPERATE WITHOUT INTERRUPTION OR DEGRADATION, INCLUDING AS A RESULT OF THIRD-PARTY TECHNOLOGIES, MODEL PROVIDERS, OR INFRASTRUCTURE SERVICES.

CORTAXIOM SHALL NOT BE LIABLE FOR ANY CLAIMS ALLEGING LOSS OF REPUTATION, LOSS OF GOODWILL, BRAND DAMAGE, OR SIMILAR REPUTIONAL HARM, WHETHER ARISING FROM USE OF THE SERVICE, SERVICE INTERRUPTIONS, SECURITY INCIDENTS, THIRD-PARTY ACTIONS, OR OTHERWISE, EVEN IF CORTAXIOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

20) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORTAXIOM, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR EXPECTED SAVINGS, ARISING OUT OF OR RELATING TO THE SERVICES, OUTPUTS, OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF CORTAXIOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CORTAXIOM’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES, OUTPUTS, OR THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO CORTAXIOM FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR, IF NO AMOUNTS HAVE BEEN PAID, ONE HUNDRED DOLLARS (US $100).

THE FOREGOING LIMITATIONS APPLY REGARDLESS OF WHETHER THE ALLEGED LIABILITY ARISES FROM BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER CAUSE OF ACTION, AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE.

CORTAXIOM SHALL NOT BE LIABLE FOR ANY INTERRUPTION, ERROR, DEGRADATION, INACCURACY, OR LIMITATION OF THE SERVICES OR OUTPUTS RESULTING FROM THE PERFORMANCE, FAILURE, OR MODIFICATION OF THIRD-PARTY TECHNOLOGIES, INCLUDING THIRD-PARTY AI MODEL PROVIDERS, CLOUD INFRASTRUCTURE, NETWORK SERVICES, OR DATA SOURCES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.​

20.1 Privacy and Data Security Incidents

While Cortaxiom implements reasonable administrative, technical, and organizational safeguards designed to protect customer data, no system can be guaranteed to be completely secure. To the maximum extent permitted by law, Cortaxiom shall not be responsible or liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or relating to a data security incident, privacy breach, or unauthorized access to customer data, including but not limited to costs associated with notification, credit monitoring, forensic investigation, regulatory inquiries, loss of business, reputational harm, or third-party claims

To the extent Cortaxiom is found legally liable for damages directly arising from a proven failure to comply with applicable data protection laws, Cortaxiom's total liability shall be subject to the overall limitations of liability set fourth in these Terms.

21) Indemnification

You agree to defend, indemnify, and hold harmless Cortaxiom and its affiliates, officers, employees, and contractors from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your use of the Services

  • Your Customer Content

  • Your violation of these Terms

  • Your violation of law or third-party rights

  • Your deployment or use of Outputs (including customer-facing reliance)

21.1 Claims Notification

You and any agent authorized on your behalf agree to promptly notify Cortaxiom in writing of any claim, demand, inquiry or circumstance that could reasonably give rise to a claim related to the Services. Failure to provide timely notice may limit Cortaxiom's ability to investigate or respond and may affect available remedies.

22) Termination, Suspension, and Business Closure / Wind-Down

We may suspend or terminate your access to the Services at any time if:

  • You violate these Terms

  • Your use creates security risk or legal exposure

  • We are required to do so by law

  • You fail to pay applicable fees

You may stop using the Services at any time. If you have a subscription, you must cancel it according to the cancellation method provided.

Upon termination, your license to use the Services ends immediately.

22.1 Termination for Cause

Cortaxiom may terminate your access to the Services, in whole or in part, immediately and without prior notice if Cortaxiom reasonably determines that:

  • You have violated these Terms or any applicable policy;

  • Your use of the Services creates legal, security, or operational risk;

  • You engage in abuse, misuse, or attempts to bypass safeguards, limits, or access controls;

  • Your actions may harm Cortaxiom, other users, or third parties.

Termination under this section may occur without refund, except where required by applicable law. Upon termination, all licenses and access rights granted under these Terms terminate immediately.

22.2 Suspension

Cortaxiom may suspend access to the Services, temporarily or permanently, if:

  • Payment is past due or a payment method fails;

  • Suspicious, fraudulent, or high-risk activity is identified;

  • Continued operation would pose a security, compliance, or infrastructure risk;

  • Maintenance, upgrades, or emergency conditions require temporary suspension;

  • Continued usage beyond Usage Limits or attempts to circumvent gating, throttling, or fair-use controls.

Suspension does not relieve you of payment obligations accrued prior to suspension. Access may be restored at Cortaxiom’s discretion once the underlying issue is resolved.

22.3 Business Closure / Wind-Down

In the event that Cortaxiom ceases operations, suspends services indefinitely, undergoes dissolution, or files for bankruptcy or similar proceedings:

  • Access to the Services will continue only through the end of any prepaid or current billing period, unless prevented by law, insolvency proceedings, or technical constraints;

  • Cortaxiom will have no obligation to provide services beyond the paid period, including renewals, extensions, or future availability;

  • Cortaxiom makes no guarantee of continued access, data retention, export availability, or system uptime following expiration of the paid period or the effective date of service cessation.

To the extent reasonably practicable, Cortaxiom may provide advance notice of service wind-down via the website or the email address associated with your account. Failure to provide notice does not create liability or extend service obligations.

Upon expiration of the paid period or cessation of operations, all licenses and access rights granted under these Terms terminate automatically.

Cortaxiom will not be liable for any losses, damages, or claims arising from service interruption, discontinuation, or business closure beyond amounts already paid for the applicable billing period.

23) Changes, Amendments, and Evolutions of the Services and Terms

Cortaxiom may update or modify the Services, pricing, Tiers, policies, or these Terms from time to time to reflect changes in our business, technology, legal requirements, or operational practices.

When we make material changes to these Terms, we will update the effective date and post the revised version on our website. We may also provide notice through prominent site notices, in-product messaging, or email, depending on the nature of the change.

It is your responsibility to review the Terms periodically. Continued access to or use of the Services after the effective date of updated Terms constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must discontinue use of the Services. Cortaxiom may suspend or terminate access if you decline to accept updated Terms or fail to comply with them, as described elsewhere in these Terms.

Our ability to update these Terms is essential to maintaining legal compliance, operational integrity, and transparency as the Services evolve.

We may update the Services, pricing, tiers, or these Terms from time to time.

  • Changes to Terms will be posted with a revised effective date.

  • If you do not agree to updated Terms, you must discontinue use of the Services. Continued access to or use of the Services after the effective date of updated Terms constitutes acceptance of such updated Terms.

If you decline to accept updated Terms or fail to comply with them, Cortaxiom may, at its discretion, suspend or terminate your access to the Services. In such cases, you acknowledge and agree that you forfeit any right to continued access and that no refunds or credits will be provided for any unused or remaining portion of a subscription period, except where required by applicable law.

Cortaxiom’s decision to suspend or terminate access under this section does not constitute a breach of contract.

25) Arbitration and Class Action Waiver
25.1 Arbitration

Any dispute arising out of or related to these Terms or the Services will be resolved by binding arbitration rather than in court, except that either party may seek injunctive relief for misuse of intellectual property or unauthorized access.

25.2 Class Action Waiver

You agree to resolve disputes only on an individual basis and waive any right to bring or participate in a class action.

25.3 Venue and Rules

Arbitration will occur in Tarrant County, Texas, under rules and procedures determined by the arbitrator, unless prohibited by law.

26) Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

27) Texas-Specific Provisions

To the fullest extent permitted under Texas law, the following provisions apply:

27.1 Equitable and Injunctive Relief

You acknowledge that unauthorized use, disclosure, or misuse of Cortaxiom’s confidential information, intellectual property, systems, or Services would cause irreparable harm for which monetary damages may be insufficient. Cortaxiom is therefore entitled to seek injunctive or equitable relief, in addition to any other remedies available at law or in equity, without the requirement to post a bond.

27.2 Venue and Jurisdiction Reinforcement

To the extent any dispute is not subject to arbitration or may be brought in court, you agree that such action shall be brought exclusively in the state or federal courts located in Tarrant County, Texas, and you irrevocably submit to the personal jurisdiction of such courts.

27.3 Waiver of Jury Trial

To the maximum extent permitted by applicable law, you knowingly and voluntarily waive any right to a trial by jury in any action or proceeding arising out of or relating to these Terms or the Services.

27.4 Texas Severability and Enforcement

If any provision of these Terms is held to be invalid, illegal, or unenforceable under Texas law, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

28) Miscellaneous
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

  • No Waiver: Failure to enforce a right is not a waiver.

  • Assignment: You may not assign these Terms without our consent; we may assign them as part of a reorganization or sale.

  • Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement for website/demo use unless replaced by an MSA/SOW.

  • If you install or use a Cortaxiom Browser Extension, you may also be subject to an End User License Agreement ("Extension EULA") specific to the extension, which is incorporated by reference and governs your right to install and use the extension content.
